Electronic Signature
Electronic signature is essential for operational procedures, with many official documents now being transmitted in digital format.
According to Law no. 296/2023, starting January 1, 2024, mandatory e-invoicing is introduced for all transactions carried out between taxable persons established in Romania. The measure applies until December 31, 2026.
An important note is that an electronic signature gives documents—of any type—the same legal value as traditional signatures and stamps. It can be used to sign documents that may or must be submitted to public authorities (ANAF, CAS, ITM, ONRC, SEAP), banks, and various internal company departments.
Key advantages include:
- Fast document transmission
- Integrity assurance — data cannot be modified without authorization
- Confidentiality of transmitted data; simplified bureaucratic processes
Less paper used = lower costs and a positive environmental impact. An electronic signature kit is the package consisting of the digital certificate (software) and the cryptographic device/token (hardware) on which the “signature” is installed.
- Submitting online declarations to ANAF;
- Authentication in SPV;
- Signing invoices (according to the Fiscal Code);
- Signing documents sent to O.N.R.C. for company incorporation (according to the updated regulations regarding registration with the Trade Register);
- Reports to CNVM — mandatory for all entities regulated and supervised by CNVM;
- Reports to health insurance funds (CNAS, CASMB, OPSNAJ, CASMT);
- Signing documents for other public institutions (SEAP, CSA-CEDAM, BVB, MYSMIS, AFM, etc.);
- Authentication in private IT systems or within the company domain, etc.
